TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you” or “your”) and CoinCooker (“CoinCooker”, “we”, “us” or “our”). These Terms govern your access to and use of the CoinCooker software platform, together with any associated interfaces, modules, dashboards, APIs, documentation, analytics, support tools and related services (collectively, the “Platform” or “Services”). The Platform is a non-custodial software infrastructure layer and does not operate as a trading venue, exchange, broker, dealer, payment institution or investment service provider.

By accessing, browsing or otherwise using the Platform, including by connecting a digital wallet, initiating any configuration flow, deploying any inscription or token, or interacting with any feature of the Platform, you acknowledge that you have read, understood and agreed to be bound by these Terms in their entirety. If you do not accept these Terms, you must immediately cease all use of the Platform.

  1. IMPORTANT NOTICE REGARDING DIGITAL ASSET RISKS
    1. CoinCooker is a non-custodial software-as-a-service infrastructure product that enables Users to design, configure and deploy Bitcoin-native digital assets, particularly tokens created pursuant to or inspired by the BRC2.0 meta-protocol. The Platform automates and simplifies technical processes, but it does not issue, sponsor, promote, manage, evaluate, endorse or otherwise take responsibility for any token, project, economic model, documentation, schedule, distribution or launch sequence generated by a User. You acknowledge that all digital assets created through the Platform are “User-Generated Digital Assets” and represent the sole creation and responsibility of the User who deploys them.
    2. Digital assets, including Bitcoin-native fungible tokens, BRC2.0-based programmable assets, collection-based tokens, governance tokens, utility tokens and experimental formats, involve substantial technological and economic risks. The value of such assets may fluctuate suddenly, become permanently illiquid, be impacted by market manipulation, technological vulnerabilities, loss of private keys, or adverse regulatory developments, or may fall to zero without warning. There is no guarantee that any digital asset will retain value, have demand, or perform in accordance with your expectations or the expectations of any third party.
    3. Nothing displayed on the Platform, including any configuration flows, examples, templates, suggested parameters, tokenomics modules, analytics, or documentation, shall be interpreted as legal advice, investment advice, financial advice, tax advice, risk evaluation, suitability assessment, regulatory guidance, project endorsement or any other form of professional advice. CoinCooker does not act as a broker, fiduciary, exchange, adviser, promoter, marketer, underwriter, placement agent, book-runner, manager, intermediary, custodian or agent for any User or any User-Generated Digital Asset. You are solely responsible for obtaining independent legal, financial and regulatory advice before launching any token.
    4. You acknowledge and agree that CoinCooker does not owe you or any third party any fiduciary or similar duty of care in connection with your use of the Platform, your configuration or deployment of User-Generated Digital Assets, or any decisions you or others make on the basis of information obtained through the Platform.
    5. You acknowledge and agree that the regulatory classification and legal implications of digital assets may vary significantly across jurisdictions. Depending on the jurisdiction and the manner in which you configure, distribute or communicate about your User-Generated Digital Assets, such assets may be treated as securities, derivatives, collective investment schemes, stored-value instruments, commodities, financial products or other regulated instruments. You are solely responsible for ensuring that your use of the Platform, your token structure, your public communications, your documentation, your marketing activities and your ongoing conduct comply fully with all applicable laws, regulatory requirements, industry guidelines, sanctions restrictions and tax obligations applicable to you.
    6. CoinCooker does not review, verify, monitor or evaluate the legality, accuracy, completeness, fairness or integrity of your tokenomics, allocation schedules, vesting arrangements, lock-up structures, disclosures, roadmaps or any other materials associated with your project. We do not monitor whether you comply with your own commitments or representations to your Users, token purchasers, community members, contributors, advisors or any other party. Any reliance by third parties on your offerings is entirely at their own risk, and CoinCooker bears no responsibility for disputes, losses or claims arising from or relating to User-Generated Digital Assets.
  2. DEFINITIONS For the purpose of these Terms:
    1. “Applicable Law” means all domestic and international laws, statutes, regulations, directives, guidelines, administrative requirements, orders or decisions applicable to your use of the Platform or any User-Generated Digital Asset, including but not limited to laws relating to securities, commodities, financial services, taxation, AML/CFT, sanctions, consumer protection, marketing, privacy, advertising and digital asset issuance.
    2. “Digital Assets” refers to any cryptographic token, inscription or blockchain-based representation of value, including those created or deployed using the Platform.
    3. “Network” refers to the Bitcoin network and any related meta-protocols or layers utilized by the Platform or by User-Generated Digital Assets.
    4. “Instructions” refers to any transaction, inscription, approval, command or action you initiate on the Platform which results in your digital wallet signing and broadcasting a transaction to the Network.
    5. “User Materials” refers to all content, data, metadata, documentation, images, names, tickers, tokenomics configurations and any other information you input, upload or generate in connection with your use of the Platform.
    6. “User-Generated Digital Assets” refers to all digital assets, tokens, inscriptions, collections or related outputs that a User deploys or initiates through the Platform.
    7. “Platform IP” refers to all intellectual property owned or licensed by CoinCooker, including software code, interfaces, architecture, documentation, trademarks, analytics and operational systems.
  3. DESCRIPTION AND FUNCTIONAL SCOPE OF THE PLATFORM
    1. The Platform enables Users to design and deploy Bitcoin-native digital assets through a structured workflow that typically includes token fundamentals, tokenomics design, allocation and team wallet structuring, documentation linking and final deployment. Although the Platform provides a coherent framework to facilitate these tasks, all decisions, selections and configurations within the workflow are determined solely by the User.
    2. The Platform includes both permissionless modules, which may be accessed without prior onboarding, and permissioned modules, which may require identity verification, additional information, separate written agreements, or project-specific compliance assessments. CoinCooker reserves the right to define and update the eligibility criteria and prerequisites for accessing each module and may modify, restrict, suspend or withdraw any module at any time for operational, legal, regulatory or risk-management reasons. Where you are granted access to a permissioned module under a separate written agreement, that agreement will prevail over these Terms to the extent of any direct conflict regarding that module.
    3. The Platform incorporates a tokenomics engine that allows Users to establish distribution structures such as vesting schedules, lock-ups, auctions, airdrop allocations, initial market-making mechanics, liquidity provisioning and staking functionality. All outputs are purely User-directed. CoinCooker does not review or validate the feasibility, integrity, market viability or legality of any such structures.
    4. Certain features may allow Users to make their deployed assets visible through analytics dashboards or discovery mechanisms. These listings are automatically or algorithmically generated and do not constitute an evaluation, endorsement or verification by CoinCooker.
    5. The Platform is fundamentally non-custodial, meaning all actions requiring blockchain execution are performed exclusively by your connected digital wallet. CoinCooker does not have the ability to access, control, freeze, reverse or modify transactions or digital assets.
  4. ELIGIBILITY AND USER OBLIGATIONS
    1. To access or use the Platform, you must satisfy all eligibility requirements set out in this Section. These requirements exist to ensure that your use of the Platform is lawful, compliant with all Applicable Law, and compatible with the operational and regulatory parameters under which CoinCooker operates.
    2. You represent and warrant that you are an individual, legal entity, organization, or other person with full legal capacity, authority, and power to enter into these Terms and to perform the obligations that arise hereunder. If you are an individual, you must have reached the legal age of majority in your jurisdiction and must not be subject to any incapacity that restricts your ability to contract. If you are acting for or on behalf of a company, trust, foundation, DAO, partnership, or any other form of legal person, you confirm that you are duly authorized to bind that entity and that such entity validly exists and is in good standing under the laws of its jurisdiction.
    3. You further acknowledge that you may not use the Platform, in whole or in part, if you are a person, entity, or organization that is located, incorporated, resident, established, or otherwise operating in a jurisdiction where your access or use would be unlawful, restricted, or otherwise contrary to Applicable Law. This includes jurisdictions that prohibit or restrict digital asset activity, token issuance, inscription deployment, cryptographic systems, or decentralized technology. It also includes jurisdictions that impose sanctions, embargoes, export restrictions, prohibitions, or licensing requirements applicable to digital asset infrastructure providers or users. You agree that you will not attempt to access or use the Platform through technological means intended to obscure or falsify your location, including the use of VPNs, proxies, anonymizing software or other tools intended to circumvent geographic or compliance controls.
    4. You declare that you are not the subject of any trade sanctions, financial restrictions, asset freezes, watchlists, anti-terrorism designations, export controls, or similar prohibitions issued by any national or international authority, including but not limited to the United Nations, the European Union, the United States, the United Kingdom, or any other governmental or regulatory body. You also confirm that your use of the Platform will not cause CoinCooker, or any third-party service provider relied upon by CoinCooker, to breach sanctions obligations, AML/CFT requirements, export restrictions, or any other Applicable Law.
    5. CoinCooker reserves the exclusive right, at any time and without notice, to modify or expand the eligibility criteria applicable to Users if we determine, in our sole discretion, that such changes are necessary or advisable due to legal, regulatory, operational, risk-management, or policy considerations. We may also update or modify these Terms to reflect such changes, and you acknowledge that it is your responsibility to review these Terms periodically to ensure you remain compliant with both the eligibility requirements and any updated obligations. Your continued use of the Platform after changes are made constitutes your acceptance of the updated eligibility requirements.
    6. CoinCooker retains the unilateral right to suspend, restrict, or terminate your access to the Platform if we have reason to believe that you do not satisfy, or may no longer satisfy, the eligibility criteria set out in these Terms. This includes instances in which your location, regulatory status, conduct, representations, or circumstances present a risk to the Platform, other Users, the Network, or CoinCooker’s compliance obligations. Such determinations may be based on confidential internal assessments, legal advice, or third-party information, and you acknowledge that CoinCooker is under no obligation to disclose the basis of any eligibility-related decision.
    7. You understand and agree that it is solely your responsibility to ensure that your technical environment — including your device, operating system, browser, wallet software, network connection, and security configurations — is suitable and secure for the use of the Platform. CoinCooker bears no responsibility for any malfunction, failure, loss, or security incident arising from your equipment, hardware, software, network, digital wallet, or personal cybersecurity practices. You are solely responsible for safeguarding your private keys, seed phrases, passwords, and credentials, and for ensuring that your use of the Platform complies with all laws applicable to you.
  5. ACCESS TO THE PLATFORM AND EXECUTION OF INSTRUCTIONS
    1. In order to use the Platform, you must connect a compatible self-custodial wallet. By doing so, you authorize CoinCooker to read publicly accessible information associated with your wallet and to prepare transactions for your review and signature.
    2. Once you sign and broadcast an Instruction to the Network, the transaction becomes final, irreversible and beyond the control of CoinCooker. You bear full responsibility for verifying all parameters associated with any Instruction, including addresses, fees, amounts and tokenomics settings.
    3. CoinCooker does not guarantee the availability, uptime, responsiveness or uninterrupted functioning of the Platform. The Platform may be suspended or interrupted due to maintenance, technical failures, network congestion, cyberattacks, protocol updates or other circumstances beyond our control.
  6. USER MATERIALS AND USER-GENERATED DIGITAL ASSETS
    1. You acknowledge that all materials you upload, configure or generate within the Platform, including metadata, documentation, images, allocations, tokenomics structures and all related information, remain your sole responsibility. You further represent that you own or have obtained all necessary rights, permissions and licenses to use such materials and to deploy the resulting User-Generated Digital Assets.
    2. You acknowledge that CoinCooker does not modify, validate, correct or audit any User-Generated Digital Assets or User Materials. You are solely responsible for ensuring that all such materials and digital assets comply fully with all Applicable Law, including but not limited to laws governing financial instruments, consumer protection, advertising, privacy, sanctions, and AML/CFT obligations.
    3. CoinCooker may, at its discretion and without limiting its other rights, remove or restrict access to any User Materials that appear to be illegal, harmful, infringing, fraudulent or otherwise inconsistent with these Terms.
  7. AUCTIONS, LATE CONTRIBUTIONS, AND REFUND MECHANICS
    1. CoinCooker auctions operate on a permissionless basis using the Bitcoin network, and Users acknowledge that CoinCooker cannot prevent third parties from sending BTC to an auction address at any time, including after an auction has formally concluded. Any BTC received after the official closing time of an auction, as determined by the relevant blockchain timestamp and block height, will not be counted toward the auction results or toward any allocation or distribution. In such cases, CoinCooker will refund the BTC to the originating address from which the contribution was made, unless technical constraints make this impracticable. Because refunds require the initiation of a new transaction on the Bitcoin network, the refunded amount will necessarily be reduced by the applicable miner fee, meaning Users will receive slightly less BTC than initially sent. Typical fee deductions are expected to be minimal, although they may vary depending on network conditions.
    2. If an auction does not meet the minimum BTC threshold or other conditions necessary for a successful completion within the designated time period, the auction will be treated as unsuccessful. In that event, CoinCooker will return all valid contributions that were received before the deadline to the addresses from which they originated, again net of the miner fees required to process the outbound transaction. Users understand and agree that CoinCooker bears no responsibility for compensating or reimbursing any additional costs they may have incurred in connection with participating in an unsuccessful auction, including network fees, slippage, or opportunity costs.
    3. All Users further acknowledge that Bitcoin transactions are irreversible at the protocol level, and CoinCooker has no ability to cancel, intercept, or retrieve funds sent to incorrect addresses, sent with incorrect parameters, or sent outside the auction window. CoinCooker’s responsibility is limited solely to returning late or unsuccessful-auction contributions to the originating address, less any miner fees required to process such refunds. Refund settlement times may fluctuate based on network congestion, and CoinCooker does not guarantee immediate or expedited confirmation of any refund transaction.
  8. FEES AND COSTS
    1. CoinCooker may charge fees for certain features of the Platform, including deployment fees, subscription fees, API access fees or fees associated with permissioned modules. All applicable fees will be disclosed through the Platform or via supplementary documentation.
    2. You are solely responsible for paying all network fees associated with your blockchain transactions, including miner fees, gas fees or fees charged by third-party service providers. CoinCooker has no control over such fees and cannot refund or mitigate them.
    3. CoinCooker reserves the right to modify its fee structure at any time. Any updated fees will apply prospectively.
  9. TRANSACTIONS AND ACTIVITY RECORDS
    1. CoinCooker does not guarantee that any Instruction will be successfully executed on the Network, nor do we guarantee confirmation times, transaction ordering, visibility within indexers, or ongoing network compatibility.
    2. CoinCooker may, but is not obliged to, retain logs of User activity for operational, risk-management, diagnostic or compliance purposes. The extent to which we retain or disclose such information is governed by our Privacy Notice and Applicable Law.
  10. SECURITY OBLIGATIONS
    1. You are solely responsible for the security of your digital wallet, private keys, seed phrases, passwords, devices, browsers, network connections and any applications or extensions that interact with the Platform. Any compromise of your environment may lead to irreversible loss of funds or assets, for which CoinCooker bears no responsibility.
    2. You agree to promptly notify CoinCooker if you become aware of or suspect a Security Breach related to your use of the Platform, including unauthorized access to your wallet or device.
    3. CoinCooker may disclose information relating to a Security Breach to legal authorities, regulators or third parties where legally required or where CoinCooker determines such disclosure is necessary for the protection of the Platform, Users or the public.
  11. PRIVACY
    1. Your use of the Platform is subject to our Privacy Notice, which forms an integral part of these Terms. The Privacy Notice describes how we collect, process, retain and disclose personal information.
    2. You acknowledge that blockchain transactions are inherently public and that CoinCooker cannot alter, remove or delete any on-chain data.
  12. INTELLECTUAL PROPERTY
    1. All rights, title and interest in and to the Platform IP, including but not limited to source code, user interfaces, architecture, analytics, documentation and trademarks, are owned exclusively by CoinCooker or its licensors.
    2. CoinCooker grants you a limited, non-exclusive, non-transferable licence to use the Platform solely for purposes consistent with these Terms.
    3. You retain ownership of the User Materials and User-Generated Digital Assets you create. However, you grant CoinCooker a non-exclusive, royalty-free licence to store, use, reproduce, display, distribute or otherwise process your User Materials insofar as is necessary for the operation, maintenance and improvement of the Platform or in response to legal obligations.
  13. PROHIBITED CONDUCT
    1. You agree that you will not use the Platform in any manner that is unlawful, fraudulent, abusive, harmful, deceptive, or otherwise inconsistent with these Terms or with any Applicable Law. Your obligations extend to every aspect of your interaction with the Platform, including the submission of blockchain Instructions, the creation of User Materials, the deployment of User-Generated Digital Assets, and all communications connected to your use of the Platform.
    2. You must not attempt to manipulate, interfere with, or disrupt the normal functioning, security, or integrity of the Platform or any systems, servers, networks, indexers, wallets, or blockchain environments connected to it. This includes any attempt to deploy malicious code, introduce harmful software, exploit security vulnerabilities, bypass technical safeguards, circumvent access restrictions, scrape data, automate interactions in an unauthorized manner, reverse-engineer any component of the Platform, or otherwise engage in activity intended to compromise the Platform or misappropriate information.
    3. You may not use the Platform for any activity designed to deceive Users, manipulate market behavior, artificially influence price discovery, or misrepresent the nature, value, governance, allocation, economics, or characteristics of any Digital Asset or token project. You must not impersonate any person or entity, misstate your identity or affiliation, falsify documents, conceal material information, or engage in any other conduct that is misleading, deceptive, or likely to result in harm, confusion, or financial loss.
    4. You may not use the Platform to engage in, facilitate, or support any form of fraudulent activity, money laundering, terrorist financing, sanctions evasion, illicit transfers of value, or any other conduct that violates financial, sanctions, AML/CFT, consumer protection, or market integrity laws. You may not represent or imply that CoinCooker endorses, guarantees, reviews, verifies, or supervises your project or your User-Generated Digital Assets in any manner.
    5. You agree not to access or attempt to access the Platform from any jurisdiction in which your use would be unlawful or would expose CoinCooker to legal or regulatory liability. This includes jurisdictions subject to comprehensive international sanctions, embargoes, or restrictions, as well as any region where digital asset issuance, inscription deployment, token creation, or decentralized technology use is prohibited or requires prior authorization. You further agree not to use VPNs, proxies, anonymizing tools, or any other method designed to conceal your true location or to circumvent geographic restrictions imposed by CoinCooker or by Applicable Law.
    6. You acknowledge that the use of automated agents, bots, scripts, crawlers, or similar tools to access or interact with the Platform without our express permission is prohibited. You may not copy, reproduce, republish, distribute, or commercially exploit any portion of the Platform or its intellectual property unless expressly authorized in writing. You must not infringe or violate the intellectual property, privacy rights, or proprietary interests of CoinCooker or any third party. You must not use the Platform as a white-label backend, middleware, or managed service for third parties, or hold yourself out as operating the Platform or any part of it, unless this has been expressly permitted in writing by CoinCooker.
    7. CoinCooker reserves the right, in its sole and absolute discretion, to restrict, suspend, or permanently terminate your access to the Platform if it determines that you have engaged in prohibited conduct or that your actions create legal, operational, reputational, or security risks. Such determinations may be based on internal controls, automated systems, external signals, legal requirements, or confidential assessments, and CoinCooker is under no obligation to disclose the basis of any such decision.
  14. DISCLAIMERS
    1. The Platform and all Services are provided strictly on an “as is” and “as available” basis. CoinCooker makes no representation, warranty, or undertaking of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy of data, uninterrupted access, error-free performance, or non-infringement. To the fullest extent permitted by Applicable Law, CoinCooker does not guarantee that the Platform will operate without delays, failures, interruptions, defects, vulnerabilities, incompatibilities, or adverse network conditions, nor does it warrant that the Platform will remain functional or accessible at all times or under all circumstances.
    2. CoinCooker does not provide brokerage, dealing, order-routing, order-matching, best-execution, clearing, settlement, custody or payment services of any kind. Any transfers, trades or other transactions in Digital Assets are executed directly by you and your counterparties on the underlying Network or on third-party infrastructure, entirely outside CoinCooker’s control.
    3. You acknowledge that the deployment and operation of Digital Assets on the Bitcoin network and related meta-protocols depend on decentralized technologies outside the control of CoinCooker. CoinCooker disclaims all responsibility for failures, delays, reorgs, malfunctions, or protocol-level changes that affect the visibility, ordering, execution, or permanence of Instructions or User-Generated Digital Assets.
    4. CoinCooker further disclaims all responsibility for acts or omissions of third parties, including but not limited to wallet providers, node operators, indexers, AMMs, exchanges, marketplaces, analytics tools, infrastructure providers, hosting services, identity-verification vendors, document generators, or any external websites or networks that interact with your use of the Platform. You understand that third-party integrations, if any, are provided without warranty and may fail or behave unpredictably.
    5. CoinCooker makes no representation or warranty that your use of the Platform, or the deployment, distribution, transfer, marketing, or ongoing operation of any User-Generated Digital Asset, will be lawful, compliant, or permissible in any jurisdiction. You are solely responsible for determining whether your use of the Platform complies with all Applicable Law, including laws relating to securities, commodities, derivatives, AML/CFT, sanctions, consumer protection, advertising, tax, financial services, and reporting obligations.
  15. LIMITATION OF LIABILITY
    1. To the maximum extent permitted by law, CoinCooker shall not be liable to you or to any third party for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages of any kind, whether arising in contract, tort, negligence, strict liability, or otherwise, including but not limited to loss of Digital Assets, loss of profits, loss of revenues, loss of goodwill, loss of opportunities, loss of data, market volatility, network congestion, protocol failures, malicious third-party behavior, exploits, hacks, wallet compromises, or any damages arising out of or related to User-Generated Digital Assets or your inability to use the Platform.
    2. CoinCooker shall not be liable for any damages arising from your reliance on, or interpretation of, any information, templates, examples, configuration flows, documentation, analytics, suggestions, simulations, pricing indications or any other materials presented on or through the Platform, all of which are provided solely as generic infrastructure tools and not tailored advice.
    3. In all circumstances, CoinCooker’s aggregate liability for any claim, dispute, cause of action, or series of related claims arising from or relating to these Terms, the Platform, or your use thereof, shall be strictly limited to the total amount of fees actually paid by you to CoinCooker for the specific Service giving rise to the claim. This limitation represents a material term of the agreement between the parties.
  16. INDEMNITY
    1. You agree to indemnify, defend, and hold harmless CoinCooker, its affiliates, and their respective directors, officers, employees, contractors, agents, and representatives from and against any and all claims, disputes, liabilities, losses, damages, penalties, regulatory proceedings, enforcement actions, investigations, costs, and expenses (including reasonable attorneys’ fees and professional costs) arising out of or related to: (i) your use of the Platform; (ii) your User Materials; (iii) your User-Generated Digital Assets; (iv) your breach or alleged breach of these Terms or of any Applicable Law; (v) any misrepresentation or omission by you; and (vi) any dispute between you and any third party relating to your project, token, marketing, disclosures, or communications.
    2. Your indemnification obligations under this Section shall survive the termination of these Terms.
  17. GEOGRAPHIC RESTRICTIONS AND ELIGIBILITY
    1. You acknowledge and agree that certain jurisdictions present elevated regulatory, sanctions, or compliance risks for the provision of the Services. Accordingly, CoinCooker restricts access to specific features of the Platform for Users located in, resident in, or accessing the Services from such jurisdictions.
    2. CoinCooker does not permit any User who is a resident, national, citizen, incorporated entity, or otherwise located in the United States, the United Kingdom, or any jurisdiction subject to comprehensive sanctions or other prohibitions under Applicable Law to participate in, access, or use any transactional or value-transferring features of the Platform, including but not limited to: (i) submitting or participating in auctions; (ii) executing swaps or trades; (iii) providing or withdrawing liquidity; (iv) deploying or initiating token launches; or (v) sending, receiving, or transmitting Digital Assets through interfaces provided by the Platform.
    3. Users from these jurisdictions may be permitted to access view-only components of the Platform (such as general informational pages, public analytics, or read-only dashboards), but all transactional functionality shall be disabled or restricted.
    4. You represent and warrant that you are not a resident, national, citizen, or located in any prohibited jurisdiction and that you will not attempt to bypass, obscure, or circumvent these geographic controls through VPNs, proxies, or other technical means. CoinCooker may implement IP-based restrictions and other technical measures to enforce this policy and may suspend or terminate access where it reasonably believes that such restrictions are being violated.
    5. Nothing in this section limits CoinCooker’s right to expand, modify, or update the list of restricted jurisdictions at any time where required by regulatory, operational, or risk-management considerations.
  18. MODIFICATIONS
    1. CoinCooker may amend, update, supplement, or restate these Terms at any time. The latest version shall be made available on the Platform, and the “last updated” date shall be revised accordingly. Your continued use of the Platform following the publication of updated Terms constitutes your acceptance of such modifications. If you do not agree with the amended Terms, you must cease all use of the Platform.
    2. CoinCooker reserves the right to modify, suspend, restrict, or discontinue any part of the Platform or any Service, temporarily or permanently, at any time and for any reason, including operational needs, risk considerations, security concerns, or compliance requirements.
  19. SUSPENSION AND TERMINATION
    1. CoinCooker may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, if it reasonably determines that your conduct violates these Terms, Applicable Law, sanctions requirements, compliance obligations, or any security, operational, or risk-management standard relevant to the Platform. CoinCooker may also take such action where necessary to comply with regulatory obligations, protect Users, preserve Platform integrity, or mitigate legal exposure.
    2. Termination of your access shall not affect the continued operation, permanence, or existence of any User-Generated Digital Assets that have already been broadcast or deployed to the Bitcoin network. You acknowledge that such assets may remain permanently accessible on the blockchain and cannot be altered, reversed, or removed by CoinCooker.
  20. GOVERNING LAW AND DISPUTE RESOLUTION
    1. Unless otherwise required by mandatory law, these Terms and any non-contractual obligations arising out of or related to them shall be governed by and construed in accordance with the substantive laws of Switzerland, without regard to conflict-of-law rules.
    2. Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the Services, including their formation, validity, interpretation, performance, breach, or termination, and any non-contractual dispute arising out of or relating thereto, shall be finally resolved by binding arbitration administered by the International Chamber of Commerce (ICC) in accordance with the ICC Rules of Arbitration then in force. The seat of arbitration shall be Zurich, Switzerland, the proceedings shall be conducted in the English language, and the arbitral tribunal shall consist of one (1) arbitrator with substantial experience in blockchain, digital assets, and technology disputes.
    3. You expressly waive, to the fullest extent permitted by law, any right to participate in class actions, collective proceedings, representative actions, mass claims, or group litigation of any kind. Each dispute shall be conducted strictly on an individual basis.
  21. GENERAL PROVISIONS
    1. These Terms constitute the entire agreement between you and CoinCooker regarding the use of the Platform and supersede all prior oral or written agreements, understandings, or representations relating to the subject matter.
    2. If any provision of these Terms is held invalid, void, or unenforceable, the remaining provisions shall continue in full force and effect. Any invalid or unenforceable provision shall be interpreted so as to give effect to its original intent to the maximum extent permissible under law.
    3. You may not assign or transfer any rights or obligations under these Terms without the prior written consent of CoinCooker. CoinCooker may assign or transfer its rights or obligations, in whole or in part, without restriction and without the need for additional consent.
    4. No failure or delay in exercising any right, remedy, or power under these Terms shall operate as a waiver thereof. A waiver shall be effective only if expressly made in writing.
    5. Any provisions that, by their nature, should survive termination—including those relating to intellectual property, disclaimers, limitations of liability, indemnity, and dispute resolution—shall survive and remain enforceable.
    6. Nothing in these Terms shall be construed as creating any partnership, joint venture, employment, franchise or agency relationship between you and CoinCooker. Neither party has the authority to bind the other in any manner, and no third party shall be entitled to rely on any relationship other than that of independent contracting parties as expressly set out in these Terms.
